1. Services

AdSync IA Agency ("AdSync IA," "we," "us," or "our") is a social media management and AI-powered marketing agency. We provide services that may include social media strategy and management, paid advertising campaigns, content creation, website design, branding, and related marketing consulting.

The exact scope, deliverables, timelines, and pricing of any engagement will be defined in a separate proposal, statement of work, or written agreement signed by both parties. Nothing on this website constitutes a binding offer of services until such an agreement is executed.

2. Payment Terms

Projects start at $2,000. Final pricing is confirmed in writing after a consultation and depends on the modules selected and the volume of content produced. Unless otherwise agreed in writing:

• Project work is billed 50% before work begins and 50% on delivery.
• Monthly retainers are billed in advance on a recurring basis.
• Invoices are due within 7 days of issue.
• Late payments may incur a 1.5% monthly service charge and may pause active campaigns and deliverables.
• Third-party costs (ad spend, software subscriptions, stock assets, etc.) are the client's responsibility and billed separately or passed through.
• All fees are non-refundable once work has commenced for the billing period.

3. Limitation of Liability

To the fullest extent permitted by law, AdSync IA Agency, its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to our services or this website.

Our total aggregate liability for any claim arising out of or related to our services shall not exceed the total fees paid by the client to AdSync IA Agency during the three (3) months immediately preceding the event giving rise to the claim.

We do not guarantee specific marketing results, rankings, sales, leads, or performance, as outcomes depend on many factors beyond our control, including third-party platform changes (Meta, TikTok, Google, etc.).

4. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Any dispute arising out of or related to these Terms or our services shall be resolved exclusively in the state or federal courts located in California, and the parties consent to the personal jurisdiction of such courts.
